Franchise Taxes for LLCs

Delaware, and other states, have laws to allow LLCs to be entities as long as they remain in good standing. For the majority of states, to remain in good standing an LLC must have an assigned registered agent and be up to date with their franchise taxes and/or reporting responsibilities.

In Delaware, LLC and LP franchise taxes are a flat fee of $300 and Series LLCs pay $75. Keep in mind, there aren’t any reporting requirements to the Division of Corporations. Depending on your needs and compliance requirements, you may need to submit income taxes to the IRS, Delaware’s Division of Revenue, and local governments.

A key role of the registered agent is to forward the franchise tax notices to the communications contact of the LLC. With that, most commercial agents offer a filing service for their customers for a service fee. The fees that we’ve seen have ranged between $29 to $200.
